1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of ServiceTracked, a software-as-a-service platform operated by Northvane LLC, a Wyoming limited liability company, doing business as ServiceTracked.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. The Service

ServiceTracked is a multi-language, voice-first software platform that helps service business owners and their teams:

  • Record voice memos and photos describing service work
  • Generate professional customer reports and quotes using AI
  • Manage customer relationships and service history
  • Process subscription billing
  • Access multilingual customer-facing communications

Specific features available depend on your subscription tier (Solo, Team, Business, Enterprise, or Founding Annual).

3. Account Registration

To use ServiceTracked, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete account information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access at security@servicetracked.com

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

4. Subscription Tiers and Pricing

4.1 Available Tiers

  • Solo: Single-person service businesses. Includes 1 user seat.
  • Team: Small teams of 2-9 employees. Includes up to 9 user seats.
  • Business: Mid-sized teams of 10-25 employees. Includes 10 user seats with metered overage at $15/seat/month (or local currency equivalent) for active seats 11-25.
  • Enterprise: Custom pricing for 26+ employees, multi-location operations, or special requirements. Contact sales@servicetracked.com.
  • Founding Annual: Limited to the first 100 customers. Locked at $199 USD per year for the life of the subscription. After 100 spots fill, this tier is permanently unavailable to new customers.

4.2 Founding Provider Lifetime Pricing

The Founding Annual tier offers a guarantee: as long as your subscription remains active without cancellation, you will be billed $199 USD per year at each renewal, regardless of price changes to other tiers.

If you cancel your Founding Annual subscription:

  • You will not be able to resubscribe at the Founding Annual rate
  • Future subscriptions will be at the then-current standard pricing
  • This pricing guarantee terminates upon cancellation

The Founding Annual tier is offered in good faith. We commit to honoring it indefinitely as long as ServiceTracked operates. In the event of a substantial change of control of Northvane LLC (acquisition, asset sale, etc.), we will use commercially reasonable efforts to ensure continuity of the Founding Annual pricing arrangement.

4.3 Trial Period

New Solo, Team, and Business subscriptions begin with a 10-day free trial. We require a valid payment method at signup, but you will not be charged during the trial period.

If you cancel before the trial ends, you will not be charged.

If you do not cancel, your subscription will automatically convert to paid status at the end of the trial period, and your payment method will be charged.

Trial periods are not available for Founding Annual or Enterprise tiers.

4.4 Billing

Subscriptions are billed in advance (monthly or annually depending on your billing cycle selection) via Stripe, our payment processor.

Charges appear on your credit card statement as "SERVICETRACKED."

You authorize us to charge your payment method on each renewal date.

If a payment fails, we will attempt to retry the charge for up to 7 days. During this period, your account remains in a "past due" status. After 7 days of failed payments, we reserve the right to suspend or terminate your subscription.

4.5 Currency Support

ServiceTracked supports subscriptions in: USD, GBP, CAD, AUD, EUR, NZD, SEK, CHF, NOK, DKK.

Your currency is selected at signup and cannot be changed afterward (you would need to cancel and resubscribe). All taxes are added at checkout per applicable jurisdiction via Stripe Tax.

4.6 Price Changes

We may change prices for non-Founding Annual tiers with at least 60 days' notice. Changes apply at the next renewal after the notice period.

Founding Annual subscribers are exempt from price changes for the duration of their continuous active subscription.

5. Cancellation and Refunds

5.1 Subscription Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal (accessible from your account dashboard) or by contacting support@servicetracked.com.

Cancellation takes effect at the end of your current billing period. You retain access to ServiceTracked until that date.

5.2 Refund Policy

In summary:

  • Trial cancellations: full refund (no charge during trial)
  • First 14 days of paid subscription: full refund upon request
  • Annual subscriptions: pro-rated refund for unused months minus a $20 processing fee
  • Monthly subscriptions: no refund for the current month
  • Founding Annual subscriptions: same as standard annual pricing

5.3 Service Termination by Us

We may suspend or terminate your access if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraud, abuse, or unlawful activity
  • Fail to pay charges after 7+ days past due
  • Misrepresent your business or identity

We will provide reasonable notice except in cases of urgent safety, security, or legal concerns.

6. Your Content

6.1 What Counts as Your Content

You own everything you submit to ServiceTracked: voice recordings, photos, customer information, service descriptions, and any reports/quotes generated from your inputs.

6.2 License Grant to Us

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Process and store your content on our infrastructure
  • Display it back to you and authorized recipients (your customers)
  • Use it to generate AI outputs (reports, quotes) for your business
  • Backup and replicate it across data centers for reliability

This license is limited to operating the Service for you. We will never sell your content to third parties or use it for purposes other than serving your business.

6.3 AI Processing

Voice recordings are transcribed using OpenAI Whisper. Reports, quotes, and other AI outputs are generated using Anthropic Claude. Both providers are bound by their respective Data Processing Agreements with us.

Your content may be temporarily accessible to these AI providers for processing. They do not use ServiceTracked customer data to train their models (this is contractually required).

If you prefer not to use AI processing for sensitive content, please contact us about Custom Tier arrangements at sales@servicetracked.com.

6.4 Customer Privacy

You are responsible for ensuring you have lawful authority to submit customer information (names, contact details, photos, voice recordings) to ServiceTracked.

You agree to comply with all applicable privacy laws regarding your customers' data, including but not limited to GDPR (EU), CCPA (California), LFPDPPP (Mexico), PIPEDA (Canada), and other jurisdictional requirements.

ServiceTracked acts as a Data Processor for your customer data; you are the Data Controller. Our role and your obligations are detailed in our Data Processing Agreement.

7. Acceptable Use

You agree not to:

  • Use ServiceTracked for illegal services or transactions
  • Submit fraudulent content or impersonate others
  • Spam, harass, or send unwanted communications to recipients
  • Reverse-engineer, decompile, or copy our proprietary technology
  • Use the API or web scraping to extract data at scale
  • Resell or sublicense Service access to third parties
  • Bypass or circumvent security measures
  • Use the Service in ways that violate intellectual property rights
  • Generate content that violates community standards (hate speech, violence, sexually explicit content, content harming minors)

Violations may result in account suspension, termination, and/or legal action.

8. Intellectual Property

8.1 Our IP

ServiceTracked, including all source code, software, design, branding (logos, names, marks), proprietary algorithms, and service infrastructure, is the intellectual property of Northvane LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms.

You may not:

  • Use our trademarks without explicit permission
  • Reverse-engineer our software
  • Reproduce or distribute our content for commercial purposes outside the Service

8.2 Your IP in Generated Content

AI-generated reports, quotes, and similar outputs are owned by you (the customer who submitted the input).

We reserve the right to use anonymized, aggregated data about platform usage to improve the Service.

9. Confidentiality

Both parties agree to keep confidential information confidential. Specifically:

  • We will not disclose your business information, customer lists, or service work details to third parties without your consent.
  • You will not disclose ServiceTracked internal pricing, technical specifications, or confidential information that is not publicly available.

Confidential information excludes information that is (a) publicly available, (b) independently developed, (c) lawfully obtained from other sources, or (d) required to be disclosed by law.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that:

  • The Service will materially conform to its description for the duration of your subscription
  • We will use commercially reasonable efforts to maintain Service availability

10.2 Disclaimer

Except as expressly provided, the Service is provided "as is" and "as available" without any warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
We do not warrant that the Service will meet your specific requirements, that AI-generated content will be error-free, or that the Service will be compatible with all equipment.

11. Limitation of Liability

To the maximum extent permitted by law, Northvane LLC's total liability for any claim arising from or relating to these Terms or the Service is limited to the greater of: (a) the fees you paid for the Service during the 12 months preceding the claim, or (b) $100 USD.

Northvane LLC will not be liable for any:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, lost revenue, or lost data
  • Damages arising from service interruption or errors
  • Claims by third parties (including your customers)
  • AI-generated content errors or inaccuracies

This limitation applies even if Northvane LLC has been advised of the possibility of such damages.

Some jurisdictions do not allow exclusion of certain damages, so these limitations may not fully apply to you.

12. Indemnification

You agree to indemnify and hold harmless Northvane LLC, its officers, employees, and contractors from any claim, demand, or damages (including reasonable legal fees) arising from your:

  • Violation of these Terms
  • Violation of any third-party rights (including customer privacy)
  • Use of the Service in violation of applicable law
  • Content submitted to ServiceTracked

This obligation survives termination of your account.

13. Privacy and Data Processing

Your use of ServiceTracked is governed by our Privacy Policy, incorporated here by reference.

For business customers operating in jurisdictions with data protection laws (GDPR, CCPA, LFPDPPP, etc.), our Data Processing Agreement governs how we handle your customer data.

14. Modifications to the Service

We may modify the Service from time to time, including adding or removing features, changing functionality, or discontinuing the Service.

We will provide reasonable notice of material changes via email or in-app notification. Material changes that adversely affect your subscription value will be announced at least 60 days in advance.

If discontinued, we will offer pro-rated refunds for unused subscription periods.

15. Term and Survival

These Terms remain in effect for the duration of your subscription and for the period after termination during which related obligations continue.

Provisions that, by their nature, should survive termination (intellectual property, indemnification, limitation of liability, confidentiality, dispute resolution) will remain in effect.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles.

16.2 Arbitration (For U.S. Customers)

For U.S. customers, any dispute arising from or related to these Terms will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration in Wyoming or your home state (your choice).

You waive the right to participate in class action arbitration or class action lawsuits.

This arbitration provision does not apply to:

  • Claims for injunctive relief
  • Claims for actual damages under $5,000
  • Claims related to intellectual property

16.3 Court Jurisdiction (For Non-U.S. Customers and Excluded Claims)

For customers outside the U.S., or for claims excluded from arbitration above, exclusive jurisdiction lies in the state and federal courts of Wyoming, United States.

EU customers may also pursue claims in their local courts as required by EU consumer protection law.

16.4 Time Limits

Any claim must be filed within one year of the event giving rise to the claim, except where local law requires a different period.

17. International Customers

ServiceTracked is available in the following primary launch countries: United States, United Kingdom, Canada, Australia, Ireland, New Zealand, and through Tier 4-5 expansion: Spain, France, Germany, Italy, Sweden, Norway, Denmark, Finland, Poland, Czech Republic, Netherlands, Belgium, Switzerland, Mexico, Argentina, Chile, Colombia, Peru, Costa Rica, Dominican Republic, Puerto Rico, Panama, Uruguay, Portugal, Brazil.

If you are located in the EU, EEA, UK, or another regulated jurisdiction, additional rights may apply, including:

  • Right to cancel within 14 days (cooling-off period for consumers)
  • Right of access, correction, deletion, and portability of personal data
  • Specific consumer protection rights as defined by local law

These additional rights are detailed in our Privacy Policy and applicable jurisdiction-specific terms.

18. Changes to These Terms

We may update these Terms periodically. Material changes will be announced at least 60 days in advance via:

  • Email notification to your registered account email
  • In-app notification
  • Posting on this Terms page with a clear "Last Updated" date

Continued use of the Service after the notice period constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, your remedy is to cancel your subscription.

19. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Acceptable Use Policy, Cookie Policy, and any Data Processing Agreement (where applicable), constitute the entire agreement between you and Northvane LLC regarding the Service.

These supersede any prior agreements, communications, or proposals (whether oral, written, or electronic) between you and Northvane LLC regarding the Service.

22. Acknowledgment

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms of Service are effective as of the date shown above.
